Legal Counsel and Company Secretary
Salary Range: Up to THB 100,000

Job Description:

MONIX is looking for an experienced Legal Counsel and Company Secretary to provide practical legal advice, review and draft legal documents, support the Company’s corporate governance framework, and ensure that the Board and sub-committees are conducted in compliance with applicable laws and internal policies. The successful candidate will work closely with business units, management, directors, and relevant stakeholders to identify and manage legal risks, maintain effective governance practices, and support the Company’s continued growth in a dynamic and challenged FinTech environment.
Key Tasks & Responsibilities:
Legal Counsel:
- Provide practical legal advice to business units on matters arising from the Company’s day-to-day operations, including corporate and commercial matters, intellectual property, data protection and governance, information technology, employment, and other applicable legal matters
- Draft, review, and negotiate contracts, terms and conditions, consent forms, policies, and other legal documents
- Work closely with internal teams and stakeholders to ensure that all legal risks are properly addressed and legal documents, templates, and practices remain up-to-date
- Advise on and develop strategies for dispute resolution including complaints, incidents, investigations, and disputes handling
- Engage, supervise and coordinate with external counsels where appropriate
- Maintain appropriate legal records and support the continuous improvement of legal and compliance function
Company Secretary:
- Coordinate and support meetings of the Board of Directors and sub-committees, including preparing meeting schedules, agendas, invitations, supporting documents, resolutions, and minutes
- Maintain statutory registers, Board and committee records, minutes, resolutions, and other corporate records in accordance with applicable laws and internal requirements
- Ensure that Board, committee, shareholder, and other statutory meetings are convened and conducted in compliance with applicable laws, the Company constitutional documents, and relevant governance requirements
- Advise directors and committee members on their duties, responsibilities, and applicable corporate-governance requirements
- Monitor and support compliance with matters relating to directors, authorized signatories, corporate authorities, conflicts of interest, and related corporate disclosures
- Coordinate corporate filings, registrations, and submissions with relevant government authorities and regulators
- Support the induction and continuing development of directors, where applicable
- Perform the duties of company secretary and other related responsibilities as assigned by the Board of Directors or management
Qualifications:
- Bachelor’s degree or higher in Law.
- At least five years of relevant experience as an in-house lawyer in multinational company or a reputable law firm
- Demonstrated experience in corporate and commercial law, contract drafting and negotiation, and corporate-secretarial or corporate-governance matters
- Good knowledge of applicable corporate, financial-services, data-protection, and governance requirements
- Experience in the fintech, financial-services, technology, or other regulated industries would be an advantage
- Strong legal research, analytical, problem-solving, and organizational skills
- Ability to communicate complex legal requirements clearly and provide practical, business-oriented advice
- Ability to manage multiple assignments and work effectively in a fast-paced and dynamic environment
- High level of integrity, professional judgment, confidentiality, and attention to detail
- Excellent written and spoken English and Thai
